60 Conversion of private company into public company
articles, a private company with 3 or more members may, for the
purpose of being converted into a public company, pass a special
resolution altering its memorandum and articles so as to exclude
the provisions inconsistent with a public company.
(2) The resolution does not take effect until the Registrar issues a
certificate that the company has been converted from a private
company to a public company.
(3) On the issue of the certificate of conversion pursuant to
subsection (2), the company may carry on as a public company the
business authorized by its memorandum of association.
