184 Simple Dissolution No property and no liabilities

(1) A provincial company that has no property and no
liabilities may, if authorized by a special resolution of the
RSA 2000

shareholders or, if there are no shareholders, by a resolution of all
the directors, apply to the Minister for a certificate dissolving the
company.
(2) The Minister may require a provincial company that has
applied for a certificate of dissolution to publish a notice of the
application in The Alberta Gazette that contains any information
that the Minister specifies.
(3) Where the Minister has received an application under
subsection (1) and is satisfied that all the circumstances so warrant,
the Lieutenant Governor in Council may issue a certificate of
dissolution that dissolves the provincial company.
(4) A provincial company is dissolved and ceases to exist on the
date stated in the certificate of dissolution.
