220 Approval of annual financial statements

(1) No provincial company may publish, issue or circulate
copies of its annual financial statement unless the statement is
(a) approved by the directors of the company,
(b) signed in accordance with subsections (2) and (3), and
RSA 2000

(c) accompanied with the report of its auditor.
(2) The approval of the directors must be evidenced by the
signature of
(a) the chief executive officer or, in the event of that officer's
absence or inability to act, any other officer authorized by
the directors to sign in place of the chief executive officer,
and
(b) one director if the signature required by clause (a) is that of
a director, or 2 directors if the signature required by clause
(a) is that of an officer who is not a director.
(3) One of the directors referred to in subsection (2)(b) must be a
member of the company's audit committee.
