Part 10 — Insider Trading

127 Deemed insiders

For the purposes of this Part,
(a) a director or an officer of a body corporate that is an insider
of a corporation is deemed to be an insider of the
corporation,
(b) a director or an officer o f a body corporate that is a
subsidiary is deemed to be an insider of its holding
corporation,
(c) a person is deemed to own b eneficially shares beneficially
owned by a body corporate controlled by the person directly
or indirectly,
(d) a body corporate is deemed to own beneficially shares
beneficially owned by its affiliates, and
(e) a person who proposes to make a take-over bid, as defined
in section 194, for shares of a corporation, or to enter into a
business combination with a corporation, is deemed to be an
RSA 2000

insider of the corporation with respect to material
confidential information obtained from the corporation.
