15 Formation of companies

(1) Any 3 or more persons (or in the case of a private company,
any 2 or more persons) associated for any lawful purpose permitted
by this Act may, by subscribing their names to a memorandum of
association and otherwise complying with the requirements of this
Act in respect of registration, form an incorporated company, with
limited liability, that is to say,
(a) a company limited by shares, or
(b) a company limited by guarantee.

(6) The memorandum must
(a) contain the name and address of each subscriber,
(b) contain the number and cl ass of shares taken by each
subscriber,
RSA 2000

(c) contain the name and relationship to the company of a
representative of the company authorized to sign the
memorandum on behalf of the company, and
(d) be signed by the representative of the company referred to in
clause (c).
(7) In the case of a company having a share capital, no subscriber
of the memorandum may take less than one share.
