271 Liquidator's account and notice of final meeting

(1) In the case of every voluntary winding-up, the liquidator
shall, as soon as the affairs of the company are fully wound up,
make an account of the winding-up and call a general meeting of
the company for the purpose of laying the account before it, and a
notice of the meeting shall be published in 2 consecutive issues of
The Alberta Gazette.
(2) If, within half an hour from the time appointed for the meeting,
a quorum of members is not present, the liquidator may adjourn the
meeting to the same day in the next week.
(3) Within 7 days after the meeting, the liquidator shall file with
the Registrar a copy of the account and a return of the holding of
the meeting and of its date, and in default of so doing is guilty of an
offence.
(4) If a quorum is not present at the meeting or the adjournment
thereof, the liquidator shall, instead of the return hereinbefore
mentioned, make a return that the meeting was duly summoned,
and upon that return being made the provisions of subsection (3) as
to the making of the return shall be deemed to have been complied
with.
(5) The Registrar on receiving the return may register it, and on
the registration of the return the company shall be deemed to be
dissolved.
(6) Notwithstanding subsection (5), the Court may, on the
application of the liquidator or of any other person who appears to
the Court to be interested, make an order deferring the date at
which the dissolution of the company is to take effect, for a time
the Court thinks fit.
(7) When an order is made under this section, the liquidator or
other person on whose application the order is made shall, within
7 days after the making of the order, file with the Registrar a copy
of the order, and if the liquidator or other person fails to do so the
liquidator or other person is guilty of an offence.
