all general meetings and, when there are directors, of all meetings
of the company's directors.
(2) Any such minute, if purporting to be signed by the chairman of
the meeting at which the proceedings were had, or by the chairman
of the next succeeding meeting, is admissible as evidence of the
proceedings.
(3) Until the contrary is proved, every general meeting of the
company or meeting of directors in respect of the proceedings of
which minutes have been so made, shall be deemed to have been
duly held and convened, and all proceedings had thereat to have
been duly had, and all appointments of directors or liquidators shall
be deemed to be valid.
(4) The minutes of the proceedings of the general meetings of a
company shall be kept at the registered office of the company and
shall be available to members for inspection during business hours,
and any member is entitled to receive a copy of the minutes for a
reasonable fee.
(5) Every company that defaults in complying with any
requirement of this section is guilty of an offence.
