Part 1 — Application of Act
3 Existing companies
(a) in the case of a company limited by shares, as if the
company had been formed and incorporated under this Act
as a company limited by shares, and
(b) in the case of a company lim ited by guarantee, as if the
company had been formed and incorporated under this Act
as a company limited by guarantee.
(c) repealed 2020 c25 s2(5).
(2) A reference, express or implied, to the date of incorporation
shall be construed as a reference to the date at which the existing
company was incorporated under the Act or Ordinance, as the case
may be, under which it was incorporated.
(3) The articles of an existing company shall, so far as they are not
contrary to any express provision of this Act, remain in force until
altered or rescinded.
