90 Deemed consent of directors

(1) A director who is present at a meeting of directors or a
meeting of a committee of directors is deemed to have consented to
any resolution made or action taken at the meeting unless
(a) the director requests that a dissent be entered in the min utes
of the meeting or the dissent is so entered,
(b) the director sends a dissent to the secretary of the meeting
before it is adjourned, or
(c) the director sends a dissent by registered mail, electroni c
means or personal delivery to the registered office of the
cooperative immediately after the meeting is adjourned.
(2) A director who votes for or expressly consents to a resolution
or action taken at a meeting of directors or of a committee of
directors is not entitled to dissent later.
(3) A director who is not present at a meeting of directors or of a
committee of directors is deemed to have consented to any
resolution made or action taken at the meeting unless the director,
within 7 days after becoming aware of the resolution or action,
(a) causes a dissent to be entered in the minutes of the meeti ng,
or
(b) sends a dissent by register ed mail, electronic means or
personal delivery to the registered office of the cooperative.
(4) A dissent sent by electronic means under this section is deemed
to have been received, served or delivered at the time it would be
received in the ordinary course of electronic means despite the fact
that it is returned as undeliverable.
