140 Voting
of shareholders shall be by a show of hands or voice vote except
when a ballot is demanded by a shareholder or proxyholder entitled
to vote at the meeting.
(2) A shareholder or proxyholder may demand a ballot either
before or on the declaration of the result of any vote by a show of
hands or voice vote.
(3) An entry in the minutes of the proceedings that a resolution
was carried or defeated is sufficient proof of the results of the vote,
and no record need be kept of the number or proportion of votes for
or against the resolution.
(4) Notwithstanding subsection (1), unless the bylaws, articles or a
unanimous shareholders agreement expressly provides otherwise,
any vote referred to in subsection (1) may be held, in accordance
with the regulations, if any, entirely by any electronic, telephonic
or other method that the corporation has made available for that
purpose.
(5) Unless the bylaws, articles or a unanimous shareholders
agreement expressly provides otherwise, any person attending a
meeting of shareholders under section 131 and entitled to vote at
the meeting may vote, in accordance with the regulations, if any, by
any electronic, telephonic or other method that the corporation has
made available for that purpose.
