289 Changes in charter, head office, directors
Registrar
(a) a copy of each amendment to its charter within one month
after the effective date of the amendment, verified in a
manner satisfactory to the Registrar,
(b) if the amendment to the cha rter effects a change in the name
under which the extra-provincial corporation is registered,
documents relating to corporate names that are prescribed
by the regulations, and
(c) a notice in the form required by the Registrar of any chan ge
in
(i) the address of its head of fice in or outside Alberta, or
RSA 2000
(ii) the membership of its board of directors, board of
management or other governing body,
within one month after the e ffective date of the change,
and the Registrar shall file the copy or the notice, as the case may
be.
(2) A notice sent to the Registrar pursuant to subsection (1)(c)(ii)
shall contain the address of each new member of the board of
directors or governing body.
(3) An extra-provincial corporation is not required to send a notice
under subsection (1)(c) if
(a) the effective date of the change occurs in its anniversary
month or the month following, and
(b) the change is reflected in the annual return required to be
filed under section 292(1).
(4) If the amendment to its charter effects a change in the name
under which an extra-provincial corporation is registered, the
Registrar, on filing the copy of the amendment under subsection
(1)(a), shall issue a new certificate of amendment of registration
and change the Registrar's records accordingly.
