55 Division 3 Articles of Association Alteration of articles

(1) Subject to this Act and to the conditions contained in its
memorandum, a company may by special resolution alter or add to
its articles, and any alteration or addition so made is as valid as if it
were originally contained in the articles, and is subject in like
manner to alteration by special resolution.
(2), (3) Repealed 2020 c25 s2(32).
(4) This section applies to
(a) resolutions that have been agreed to by all the members of
the company, but that, if not so agreed to, would not have
been effective for their purpose unless they had been passed
as special resolutions,
(b) resolutions or agreements t hat have been agreed to by all the
members of some class of shareholders, but that, if not so
agreed to, would not have been effective for their purpose
unless they had been passed by some particular majority or
otherwise in some particular manner, and
(c) all resolutions or agreements that effectively bind all
members of any class of shareholders, though not agreed to
by all those members.
