Part 17 — Extra-provincial Cooperatives and Extra-provincial Matters

374 Cancellation of registration

(1) Subject to subsection (2), the Registrar may cancel the
registration of an extra-provincial cooperative if
(a) the extra-provincial cooperative is in default for a perio d of
one year in sending to the Registrar any fee, notice or
document required by this Part,
(b) the extra-provincial cooperative has sent a notice to the
Registrar under subsection (4) or the Registrar has
reasonable grounds to believe that the extra-provincial
cooperative has ceased to carry on business in Alberta,
(c) the extra-provincial cooperative has been dissolved,
(d) the extra-provincial cooperative does not carry out an
undertaking given in accordance with the regulations,
(e) the extra-provincial cooperative does not comply with a
direction of the Registrar under section 371(2), or
(f) the extra-provinci al cooperative has otherwise contravened
this Part.
(2) The Registrar may not cancel the registration of an
extra-provincial cooperative under subsection (1) until
(a) the expiration of at least 120 days' notice of the proposed
cancellation with reasons for it,
(i) to the extra-provincial cooperative head office, and
(ii) to its agent for service in accordance with section 377,
with any necessary modifications,

(b) the Registrar publishes a notice of the proposed cancellat ion
in a publication generally available to the public, and
(c) either no appeal has been co mmenced under section 335 or,
if an appeal has been commenced, it has been discontinued
or the Registrar's decision has been confirmed on appeal.
(3) The Registrar may reinstate the registration of an extra-provincial
cooperative that was cancelled under subsection (1)(a) on receipt by the
Registrar of the fees, notices and documents required for reinstatement.
(4) An extra-provincial cooperative that ceases to carry on business
in Alberta must send a notice to that effect to the Registrar.
(5) A notice or document required to be sent, served or delivered
under this section may be sent by mail or electronic means in
accordance with the Electronic Transactions Act.
(6) A notice or document sent in accordance with subsection (5) is
deemed to have been received, served or delivered at the time it
would be delivered in the ordinary course of mail or received in the
ordinary course of electronic means despite the fact that it is
returned as undeliverable.
(7) The cancellation of the registration of an extra-provincial
cooperative does not affect its liability for its obligations.
