Part 17 — Extra-provincial Cooperatives and Extra-provincial Matters

377 Agent for service of an extra-provincial cooperative

(1) If an agent of an extra-provincial cooperative dies or
resigns or the agent's appointment is revoked, the extra-provincial
cooperative must immediately send to the Registrar an appointment

of an individual as its agent for service in the form set by the
Registrar.
(2) An extra-provincial cooperative may, in the form set by the
Registrar, appoint an individual as its alternative agent.
(3) An extra-provincial cooperative must send to the Registrar
(a) each appointment by it of an alternative agent, and
(b) if an alternative agent dies or resigns or the appointment is
revoked, a notice to that effect.
(4) An agent for an extra-provincial cooperative who intends to
resign must
(a) give not less than 60 days' notice to the extra-provincial
cooperative at its head office, and
(b) send a copy of the notice to the Registrar.
(5) An agent must send the Registrar a notice in the form set by the
Registrar of any change of the agent's address as soon as possible
after it occurs.
(6) An extra-provincial cooperative must ensure that the address of
its agent is an office that is
(a) accessible to the public dur ing normal business hours, and
(b) readily identifiable from t he address or other description
given in the notice referred to in subsection (5) or the
appointment referred to in section 369(2)(c).
(7) A notice or document required or permitted by law to be sent
to or served in Alberta on an extra-provincial cooperative may be
(a) delivered or mailed to the address of its agent or alterna tive
agent according to the Registrar's records, or
(b) sent by electronic means to its agent or alternative agent in
accordance with the Electronic Transactions Act.
(8) A notice or document sent under subsection (7) is deemed to
have been received at the time it would be delivered in the ordinary
course of mail or received in the ordinary course of electronic
means, as the case may be, despite the fact that it is returned as
undeliverable.
