329 Directors filling vacancy
sections 328, 330 and 331, a quorum of directors may fill a vacancy
among the directors except a vacancy among the directors resulting
from a change in the bylaws by which the number or minimum
number of directors is increased or from a failure to elect the
number or minimum number of directors required by the bylaws.
(2) Despite sections 324 and 335(4)(b), where by reason of a
vacancy the number of directors or the composition of the board of
directors fails to meet any of the requirements of sections 311,
314(2) and (3) and 315(4), the directors who, in the absence of any
bylaw, would be empowered to fill that vacancy must do so
forthwith.
