368 Subpart 7 Insider Trading Interpretation

(1) In this Subpart,
RSA 2000

(a) "business combination" means an acquisition of all or
substantially all the assets of one body corporate by another
body corporate or an amalgamation of 2 or more bodies
corporate;
(b) "insider" means, with resp ect to a provincial company,
(i) the company,
(ii) an affiliate of the company,
(iii) a director or an officer of the company,
(iv) a person who has a substantial investment in the
company,
(v) a person employed or hired by the company, and
(vi) a person who receives sp ecific confidential information
from a person referred to in this clause, including a
person referred to in this subclause, and who has
knowledge that the person giving the information is a
person described in this clause;
(c) "officer", in relation to a provincial company, means
(i) a chief executive officer , president, vice-president,
secretary, controller, treasurer and any other individual
designated as an officer of the company by bylaw or by
resolution of the directors of the company, and
(ii) any individual who performs functions for the company
similar to those performed by an individual referred to in
subclause (i).
(2) For the purposes of this Subpart,
(a) if a body corporate becomes an insider of a provincial
company or enters into a business combination with a
provincial company, or
(b) if a provincial company becomes an insider of a body
corporate, or enters into a business combination with a body
corporate,
every director or officer of the body corporate is deemed to have
been an insider of the company for the previous six months or for
such shorter period as the director or officer was a director or
officer of the body corporate.
