15.2 Liability

(1) The liability of each of the shareholders of a corporation
incorporated under this Act as an unlimited liability corporation for
any liability, act or default of the unlimited liability corporation is
unlimited in extent and joint and several in nature.
(2) Notwithstanding subsection (1), but subject to any immunity
from liability otherwise available on pleading the Limitations Act
as a defence, a former shareholder of an unlimited liability
corporation is not liable for any liability, act or default of the
unlimited liability corporation unless an action to enforce a claim
arising out of that liability, act or default is brought within 2 years
from the date on which the former shareholder last ceased to be a
shareholder of the unlimited liability corporation.
(3) A former shareholder of an unlimited liability corporation is
not liable for any liability, act or default of the unlimited liability
corporation that did not exist on or prior to the date on which the
former shareholder last ceased to be a shareholder of the unlimited
liability corporation.
