Current to 2022-12-15 · Official PDF

(1) When an association has been or is about to be formed as a
limited company for the purpose of promoting art, science,
religion, charity or any other useful object, and it is the intention of
the association to apply the profits, if any, or any other income of
the association in promoting its objects and to prohibit the payment
of any dividend to the members of the association, the Registrar
may direct the association to be registered with limited liability
without the addition of the word "limited" to its name and the
association may be registered accordingly.
(2) On registration the association has all the privileges conferred
and is subject to the obligations imposed by this Act on limited
companies, with the exception that none of the provisions of this
Act that require a limited company to use the word "limited" as a
part of its name or to publish its name apply to an association so
registered.
(3) The direction by the Registrar may be made on any conditions
and subject to any regulations the Registrar thinks fit to impose,
and the conditions and regulations are binding on the association
and may at the option of the Registrar be inserted in the
memorandum and articles of association or in one of those
documents.
